BezelFi Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, mobile applications, and related offerings operated by Replenish Labs Corporation, doing business as BezelFi ("BezelFi," "we," "us," or "our") (collectively, the "Services"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

Our Privacy Policy explains how we collect and use personal information. By using the Services, you also agree to the Privacy Policy.

1. The Services

BezelFi provides tools intended to help you understand and manage recurring spending, including by:

• Surfacing subscriptions and recurring charges based on information you provide or that we obtain through integrations you authorize (for example, when you connect financial accounts through our partner Plaid Inc. or similar providers);
• Showing estimates, alerts, and summaries such as upcoming renewals, price changes, or charges that may be subscriptions;
• Providing step-by-step instructions to help you cancel or modify subscriptions with third-party merchants. You perform those actions yourself with the relevant merchant or platform—we do not cancel subscriptions on your behalf unless we expressly state otherwise in the product.

The Services may also include optional features that use content you submit or generate (for example, prompts or uploads) as described in our Privacy Policy. Features may change over time.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of a business, you represent that you have authority to bind that business. The Services are not intended for children under 13.

3. Your Account

You may need to register an account. You agree to provide accurate information, safeguard your credentials, and notify us promptly at kashyap@trybezel.com of unauthorized use. You are responsible for activity under your account.

4. Connecting financial accounts

When you choose to link a bank or card account, you authorize BezelFi and our service providers (such as Plaid) to access and retrieve transaction and related account information as permitted by you and subject to their terms and privacy policies. You represent that you have the right to connect each account. Financial institutions may impose their own terms. We do not guarantee uninterrupted or error-free access to third-party data.

5. Fees and purchases

Some features may require payment. When you purchase through the Apple App Store, Google Play, or another platform, that platform's terms and payment rules apply, including for refunds. Pricing and offerings are as presented in the app or checkout flow at the time of purchase.

6. Not financial, legal, or tax advice

The Services are for informational and organizational purposes only. Nothing we provide is financial, investment, legal, or tax advice. You are solely responsible for your financial decisions, including whether to maintain or cancel any subscription or service with a third party.

7. Accuracy and third parties

We strive to provide useful information, but we do not warrant that data from institutions, merchants, or algorithms is complete, current, or free of errors. Merchant websites, cancellation flows, and pricing change frequently. Always confirm important details with the relevant provider. Third-party names and logos may appear for identification; we are not endorsed by or affiliated with those third parties unless we say so explicitly.

8. Acceptable use

You agree not to:

• Use the Services in violation of law or third-party rights;
• Attempt to gain unauthorized access to our systems, other users' accounts, or linked institutions;
• Reverse engineer, scrape, or overload the Services except as allowed by applicable law;
• Use the Services to transmit malware, spam, or misleading content;
• Misrepresent your identity or your authority over any account you connect.

We may suspend or terminate access for conduct that we reasonably believe violates these Terms or harms the Services or other users.

9. Intellectual property

The Services, including software, branding, text, graphics, and layout, are owned by Replenish Labs Corporation or our licensors and are protected by intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable license to use the Services as we make them available to you. No other rights are granted.

10. Your content

You retain ownership of content you submit. You grant BezelFi a worldwide, non-exclusive license to host, use, reproduce, and display that content as needed to operate, improve, and promote the Services, including as described in our Privacy Policy (for example, product features and model improvement where applicable). You represent you have the rights needed to grant this license.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER REPLENISH LABS CORPORATION NOR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100), IF YOU HAVE NOT PAID US ANYTHING.

Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the fullest extent permitted by law.

13. Indemnity

You will defend, indemnify, and hold harmless Replenish Labs Corporation and its affiliates, officers, directors, and employees from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your content, your violation of these Terms, or your violation of third-party rights.

14. Termination

You may stop using the Services at any time. We may suspend or terminate your access with or without notice if we believe you have violated these Terms or if we discontinue the Services. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnity, and governing law) will survive termination.

15. Changes

We may modify these Terms from time to time. We will post the updated Terms and update the effective date. If changes are material, we may provide additional notice (for example, by email or in-app). Your continued use after the effective date constitutes acceptance. If you do not agree, stop using the Services.

16. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except that if you are a consumer, mandatory consumer protection rules in your place of residence may still apply where required by law.
